Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b)    On June 26, 2024, Janet L. Miller submitted her resignation, effective as of June 28, 2024, as a member of the Board of Directors of Cleveland-Cliffs Inc. (the “Company”). Ms. Miller’s decision to resign was for personal reasons and not because of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company thanks Ms. Miller for her service and contributions to the Company during the past five years.
